Tilman Fertitta Strikes $5.7bn Deal to Take Over Caesars Entertainment

Billionaire casino and hospitality operator Tilman Fertitta has agreed to acquire Caesars Entertainment in a landmark deal worth more than $5.7 billion, a move that could reshape the future of the Las Vegas Strip and create one of the largest gaming empires in the United States.

The agreement, announced after months of speculation, would see Fertitta Entertainment purchase Caesars in an all-cash transaction priced at $31 per share. Including Caesars’ existing debt obligations of around $11.9 billion, the total value of the takeover reaches approximately $17.6 billion.

If finalized, the acquisition would combine Caesars’ vast casino and hospitality network with Fertitta’s existing portfolio, which already includes Golden Nugget casinos, Landry’s restaurants and ownership of the NBA’s Houston Rockets.

Caesars operates more than 50 casino resorts across North America and controls several major Las Vegas Strip properties, including Caesars Palace, Harrah’s and Planet Hollywood. The company also maintains a large online gaming and sports betting business through its digital operations and William Hill partnerships.

Fertitta has reportedly pursued Caesars for years, with previous takeover attempts and merger discussions dating back to 2018. Interest intensified earlier this year when reports emerged that Fertitta had submitted a competing bid against other potential buyers, including investor Carl Icahn.

Under the terms of the deal, Caesars’ current leadership team is expected to remain in place, including CEO Tom Reeg and CFO Bret Yunker. The Carano family, which holds a significant stake in Caesars, is also expected to roll part of its ownership into the combined company.

The agreement includes a “go-shop” period running until 11 July, allowing Caesars to consider alternative offers before the transaction becomes final. Regulatory and shareholder approvals will still be required before the takeover can close.

Industry analysts view the acquisition as one of the most significant casino deals in US history, especially as Las Vegas operators face slower tourism growth and increasing competition in online betting markets.

The transaction also expands Fertitta’s influence across the gambling industry. In addition to Golden Nugget operations, he already holds investments linked to major gaming and sportsbook businesses, making the Caesars acquisition another major step in consolidating his presence in the sector.
