Winvia expands UK prize draw portfolio with £19.1m Giveaway Guys deal

Winvia Entertainment has agreed to acquire The Giveaway Guys and Win Life Competitions in a transaction worth up to £19.1 million, continuing its expansion in the UK prize draw market.

The AIM-listed company entered into an asset purchase agreement with The Online Giveaway Guys (TOGG) and its wholly owned subsidiary Win Life Competitions. Winvia will acquire the businesses, brands and key operating assets, while liabilities, existing cash and trade receivables will remain with the sellers.

The Giveaway Guys, launched in 2020, operates digitally led daily and scheduled prize draws and has developed an established customer base in the UK. Win Life is a newer operation focused primarily on campervan competitions and has built a recurring-revenue customer base. Both businesses are currently owned by Peter Toye.

£15.47m due on completion

Winvia will pay £15.47 million in cash when the acquisition completes, followed by £3.63 million of deferred consideration on the first anniversary of completion.

An additional earn-out could also become payable based on the combined adjusted EBITDA of The Giveaway Guys and Win Life during the 12 months ending on the second anniversary of completion. That payment will be calculated at 2.1 times achieved adjusted EBITDA, minus the £3.63 million deferred amount.

The valuation is based on combined adjusted EBITDA of £4.25 million for the 12 months to 30 June 2026. The businesses generated £30.3 million in gross revenue over the same period.

Winvia plans to finance the transaction entirely from existing cash resources. Completion depends on the transfer of key supplier agreements and is expected by the end of October 2026. The company expects the acquisition to contribute positively to earnings during the first full financial year after completion, while certain employees from the acquired businesses will remain within the wider Winvia group.

Technology integration central to growth plan

Following completion, Winvia intends to use shared infrastructure, greater automation and its proprietary technology platform across the acquired operations. It also plans to introduce additional product features and subscription-led products designed to increase recurring revenue.

The acquisition forms part of Winvia’s strategy to increase its scale in the fragmented UK prize draw market through a combination of acquisitions and organic growth. The company said The Giveaway Guys brings an established audience and marketing channels that complement its existing portfolio.

Winvia already owns Best of the Best, Click Competitions and Rev Comps and also operates B2B prize draw partnerships, including Villa Win with Aston Villa. According to the company’s regulatory filing, it was the UK’s second-largest prize draw operator by market share based on a June 2025 London Economics report prepared for the Department for Culture, Media and Sport.

The transaction follows a period of strong growth for Winvia. For the six months to 30 June 2026, group net revenue reached £109.7 million, up 43% from £76.9 million a year earlier, while adjusted EBITDA increased from £16 million to £17.2 million. Its prize draw division generated more than £41 million in gross revenue, representing growth of more than 15%.

The Giveaway Guys and Win Life deal adds to Winvia’s recent consolidation activity after its acquisitions of Click Competitions and Rev Comps, strengthening the group’s position as it continues to expand its UK prize draw portfolio.
